SRD II Statement

Shareholder Rights Directive Disclosure InfraBridge Investors (UK) Limited

InfraBridge Investors (UK) Limited (“InfraBridge Investors”, or the “Firm”) is a full-scope UK AIFM, which is authorised and regulated by the Financial Conduct Authority (“FCA”). Under Rule 2.2B.5R of the FCA Conduct of Business Sourcebook, InfraBridge Investors is required to either develop and publicly disclose an engagement policy that meets the requirements of the Shareholder Rights Directive (“SRD II”) (the “SRD II Requirements”) or to publicly disclose a clear and reasoned explanation of why it has chosen not to develop an engagement policy that meets the SRD II Requirements.

InfraBridge Investors believes in the importance of effective stewardship and long-term decision-making in the best interests of the funds InfraBridge Investors manages and generally supports the objectives that underlie SRD II. However, InfraBridge Investors has chosen not to develop an engagement policy that complies with the SRD II Requirements, as the Firm considers that the funds it manages have an investment strategy that is not commensurate with the outcomes of the SRD II Requirements. The Firm seeks to invest in illiquid real assets rather than shares listed on a regulated market.

Environmental, Social and Governance (ESG) Matters

InfraBridge Investors believes there is value in investing in corporations that have demonstrated a sustainable framework for dealing with ESG matters. InfraBridge Investors recognises that ESG-related issues are an increasingly critical factor in understanding global economies. Therefore InfraBridge Investors has adopted a Responsible Investment Policy (“RI Policy”) in line with its affiliate, DigitalBridge Investment Management. InfraBridge Investors will review this statement annually and, if applicable, update it to reflect any changes in circumstances and practice.
